1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ferridimag ("Company," "we," "our," or "us") regarding your use of our website, services, courses, and related offerings.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Description of Services

Ferridimag provides public speaking training, coaching, and educational services, including:

  • Public Speaking Courses: In-person and online training programs
  • Private Coaching: One-on-one speaking instruction and feedback
  • Group Workshops: Interactive training sessions for multiple participants
  • Corporate Training: Customized programs for businesses and organizations
  • Online Resources: Educational content, articles, and digital materials
  • Consultation Services: Professional advice and assessment

3. User Eligibility and Registration

3.1 Age Requirements

You must be at least 16 years of age to use our services independently. Users under 18 require parental or guardian consent for course enrollment and payment.

3.2 Account Creation

To access certain services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

3.3 Professional Use

Our services are intended for legitimate educational and professional development purposes. Commercial use of our materials or services requires prior written authorization.

4. Course Enrollment and Payment

4.1 Registration Process

Course enrollment requires:

  • Completion of registration forms with accurate information
  • Payment of applicable fees (unless otherwise specified)
  • Acceptance of course-specific terms and schedules
  • Acknowledgment of prerequisite requirements, if any

4.2 Pricing and Payment

  • All prices are in Canadian dollars unless otherwise stated
  • Payment is due at time of registration unless payment plans are arranged
  • We accept major credit cards, bank transfers, and other approved payment methods
  • Prices are subject to change with reasonable notice
  • Additional fees may apply for materials, certifications, or special services

4.3 Taxes

Applicable taxes (including GST/HST) will be added to course fees as required by Canadian law. Tax receipts will be provided for eligible expenses.

5. Cancellation and Refund Policy

5.1 Participant Cancellations

  • More than 14 days before start: Full refund minus $50 administrative fee
  • 7-14 days before start: 50% refund
  • Less than 7 days before start: No refund (credit may be issued)
  • After course begins: No refund for remaining sessions

5.2 Company Cancellations

If we cancel a course due to insufficient enrollment or other circumstances:

  • Full refund of paid fees
  • Option to transfer to alternative dates or programs
  • Reasonable notice when possible
  • No liability for additional costs or expenses

5.3 Special Circumstances

Refunds may be considered for exceptional circumstances such as medical emergencies, with appropriate documentation.

5.4 Processing Time

Approved refunds will be processed within 14 business days using the original payment method.

6. Attendance and Participation

6.1 Attendance Requirements

  • Regular attendance is essential for program effectiveness
  • Missed sessions cannot be made up individually
  • Alternative arrangements may be available for documented emergencies
  • Persistent absence may result in program dismissal without refund

6.2 Participation Standards

Participants are expected to:

  • Arrive punctually and prepared for sessions
  • Engage respectfully with instructors and fellow participants
  • Complete assigned exercises and practice activities
  • Provide constructive feedback when requested
  • Maintain confidentiality of other participants' personal information

6.3 Disruptive Behavior

We reserve the right to remove participants who exhibit disruptive, disrespectful, or inappropriate behavior. No refund will be provided in such cases.

7. Intellectual Property Rights

7.1 Company Content

All content provided by Ferridimag, including but not limited to:

  • Course materials, handouts, and presentations
  • Videos, audio recordings, and digital resources
  • Training methodologies and curricula
  • Website content, logos, and branding
  • Proprietary techniques and frameworks

remains the exclusive property of Ferridimag and is protected by intellectual property laws.

7.2 Permitted Use

Participants may use provided materials for personal learning and development only. Commercial use, reproduction, distribution, or publication requires written permission.

7.3 User-Generated Content

By participating in our programs, you grant Ferridimag a non-exclusive license to use:

  • Testimonials and feedback you provide
  • Photos and videos taken during courses (with consent)
  • Success stories and case studies (anonymized if requested)

7.4 Recording and Photography

Sessions may be recorded for quality assurance and training purposes. Participants will be notified and consent obtained as required.

8. Privacy and Confidentiality

8.1 Personal Information

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

8.2 Participant Confidentiality

Information shared by participants during courses should be treated as confidential. Participants agree not to disclose personal information about other attendees.

8.3 Professional Boundaries

Our instructors maintain professional boundaries and confidentiality standards appropriate to educational services.

9. Disclaimers and Limitations

9.1 Educational Nature

Our services are educational in nature and do not guarantee specific outcomes, career advancement, or performance improvements. Results depend on individual effort and application.

9.2 No Professional Advice

Our services do not constitute professional therapy, counseling, or medical advice. Participants with specific mental health concerns should consult qualified professionals.

9.3 Individual Responsibility

Participants are responsible for:

  • Applying learned techniques appropriately
  • Considering their own limitations and circumstances
  • Seeking additional help when needed
  • Making informed decisions about participation

9.4 Technical Issues

For online services, we cannot guarantee uninterrupted access due to internet connectivity, technical problems, or force majeure events.

10. Limitation of Liability

10.1 Maximum Liability

Our total liability for any claims arising from these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

10.2 Excluded Damages

We shall not be liable for:

  • Indirect, consequential, or incidental damages
  • Lost profits or business opportunities
  • Emotional distress or personal injury (except as required by law)
  • Third-party actions or claims
  • Technical failures beyond our reasonable control

10.3 Assumption of Risk

Participants acknowledge that public speaking involves personal vulnerability and emotional challenges, and voluntarily assume these risks.

11. Indemnification

You agree to indemnify and hold harmless Ferridimag, its instructors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your violation of these Terms
  • Your misuse of our services or materials
  • Your violation of third-party rights
  • Any false or misleading information you provide

12. Modifications to Services and Terms

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue services with reasonable notice. Enrolled participants will be notified of significant changes affecting their programs.

12.2 Terms Updates

These Terms may be updated periodically. Significant changes will be communicated through email or website notice. Continued use constitutes acceptance of revised Terms.

12.3 Course Modifications

Course content, schedules, and instructors may change due to circumstances beyond our control. We will make reasonable efforts to maintain program quality and notify participants of significant changes.

13. Termination

13.1 Termination by User

You may terminate your account or enrollment subject to our cancellation policy and any outstanding obligations.

13.2 Termination by Company

We may terminate or suspend your access for:

  • Violation of these Terms
  • Inappropriate behavior or harassment
  • Non-payment of fees
  • Fraudulent activity
  • Legal or regulatory requirements

13.3 Effect of Termination

Upon termination:

  • Your access to services will cease
  • Outstanding payments remain due
  • Certain provisions of these Terms survive termination
  • You must cease use of our materials and content

14. Force Majeure

We shall not be liable for delays or failure to perform due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or health emergencies
  • Government actions or regulatory changes
  • Labor disputes or strikes
  • Technical infrastructure failures
  • Venue unavailability

15. Dispute Resolution

15.1 Informal Resolution

Before pursuing formal legal action, parties agree to attempt good-faith resolution through direct communication.

15.2 Mediation

If informal resolution fails, disputes may be submitted to mediation through a mutually agreed mediator in Toronto, Ontario.

15.3 Arbitration

Disputes not resolved through mediation may be submitted to binding arbitration under the rules of the ADR Institute of Ontario.

15.4 Legal Action

Any legal proceedings must be commenced within one year of the event giving rise to the claim.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Ontario, Canada, and applicable federal Canadian law. Any legal proceedings shall be conducted in the courts of Ontario.

17. Accessibility

We strive to make our services accessible to participants with disabilities. Please contact us to discuss accommodation needs, and we will make reasonable efforts to provide appropriate support.

18. Language

These Terms are prepared in English. If translated into other languages, the English version shall prevail in case of any inconsistency.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ferridimag regarding the use of our services.
